Welcome to SyncMate (the "Platform", "Software", or "App"). SyncMate is a proprietary software product owned and operated by WYHEN Pty Ltd (ABN 57 688 078 999) trading as SyncMate ("we", "us", or "our").

By accessing, registering for, or using SyncMate, you ("User", "Customer", "you") agree to be legally bound by these Terms and Conditions. If you do not agree to these terms, you must immediately cease using the Platform.

1. Nature of Service & Separation of Liability

1.1 Standalone SaaS Product: SyncMate is an automated cloud-based administrative tool designed for expense capture, optical character recognition (OCR) data extraction, and accounting software synchronization.

1.2 No Professional Advice: The provision of the Software is strictly automated and administrative. It does not constitute the provision of professional accounting, public practice auditing, legal, financial, or registered tax agent advice by WYHEN Pty Ltd.

1.3 Explicit Engagement Required: Accessing SyncMate does not establish a formal accountant-client relationship with WYHEN Pty Ltd. For professional advisory, tax agent, or corporate structuring services, a separate formal Engagement Letter must be executed directly with WYHEN's professional practice.

2. Accuracy of AI, Automation & User Responsibility

2.1 Non-Infallibility of AI: SyncMate utilizes Artificial Intelligence (AI) and Machine Learning models to read, parse, and extract data from uploaded invoices, receipts, and source documents. Automated data extraction is not 100% infallible.

2.2 Duty to Review: The User bears the sole and absolute responsibility to review, verify, cross-check, and approve all data fields (including but not limited to transaction amounts, GST components, supplier details, tax codes, and chart of account categories) before publishing or syncing them to any third-party ecosystem.

2.3 Exclusion of Financial Penalties: To the maximum extent permitted by law, WYHEN Pty Ltd shall not be held liable for any direct, indirect, or consequential losses, including but not limited to interest, back-taxes, penalties, or fines imposed by the Australian Taxation Office (ATO) or any regulatory body resulting from software anomalies, AI misclassifications, data omissions, sync failures, or booking errors.

3. Subscription Plans, Billing, Quotas & Merchant of Record Disclosure

3.1 Merchant of Record (MoR): Our order and checkout process is entirely managed and conducted by Paddle.com Market Ltd ("Paddle"), who acts as our Merchant of Record and authorized global reseller. When you purchase a subscription plan or buy top-up credits on SyncMate, the transaction is processed by Paddle, and the merchant name appearing on your invoice and payment statement will reflect Paddle.

3.2 Subscription Model: SyncMate plans (e.g., Starter, Comprehensive) are billed via Paddle on a recurring monthly subscription basis in advance. All pricing tiers are subject to specific monthly extraction quotas and maximum user seat limits as advertised on our pricing page.

3.3 Hard Quota Ceiling: Upon reaching your plan's maximum monthly extraction limit (e.g., 200 extractions for the Starter tier), automated processing will be automatically paused. To resume processing before the next billing cycle, the User must either upgrade their plan or purchase a dedicated "Top-Up" package via Paddle.

3.4 No Rollover: Unused extraction quotas or user seats at the end of a billing cycle expire automatically and do not roll over to the subsequent month.

3.5 Taxes & GST: Fees are exclusive of Australian Goods and Services Tax (GST) or other applicable localized transaction taxes, which will be calculated, added, and collected by Paddle at checkout based on your billing residency.

4. Third-Party Software & Integrations (Xero)

4.1 Independent Ecosystems: SyncMate provides integration pathways with third-party accounting platforms, primarily Xero.

4.2 Platform Disruption Disclaimer: We do not own, control, or maintain Xero or its APIs. SyncMate shall not be held responsible or liable for any service disruptions, breaking API changes, credential synchronization lockouts, or data loss occurring within or caused by third-party systems.

5. Cancellation, Termination & Refunds

5.1 Right to Cancel: You may cancel your paid SyncMate subscription at any time through your billing dashboard. Your access will remain active until the end of your current prepaid billing period.

5.2 Refunds: All refund requests, billing errors, and payment adjustments are subject to and handled via our specialized Refund Policy, which incorporates Paddle's consumer transaction terms and your statutory consumer guarantees under the Australian Consumer Law (ACL).

6. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales.
